Terms of Use
These Terms of Use (“Terms”) govern your access to and use of Kantharos websites, apps, and related services (the “Service”). By using the Service, you agree to these Terms.
Working terms for dogfood and store readiness. Confirm governing entity, jurisdiction, and paid-plan language with counsel before a public commercial launch.
1. The Service
Kantharos is a client application for Hermes Cloud. You connect your own Nous / Hermes account. Hermes is the system of record for agents and conversations. Features may change during early access / dogfood.
2. Eligibility
You must be able to form a binding contract and meet any minimum age required in your country. If you use the Service on behalf of an organization, you represent you have authority to bind that organization.
3. Accounts and credentials
You are responsible for your devices, app settings, and credentials (including Hermes / Nous credentials and any API keys stored on your device). Keep them confidential. Notify us of unauthorized use at support@kantharos.ai.
4. Acceptable use
- Do not misuse the Service, attempt unauthorized access, or disrupt others.
- Do not use the Service to violate law, infringe rights, or distribute malware.
- Comply with Nous / Hermes terms and any model/provider policies that apply to your connected account.
5. Third-party services
Hermes Cloud, Nous Portal, model providers, and other third-party services are not controlled by Kantharos. Your use of those services is under their terms. Kantharos is not responsible for third-party outages, content, billing (including Hermes credits), or data handling outside the Kantharos client.
6. Intellectual property
Kantharos and its branding, UI, and software are owned by us or our licensors. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service as permitted by these Terms. You retain rights to your content; you grant us a limited license to process content only as needed to operate the Service features you use.
7. Early access / dogfood
During dogfood, the Service may be unstable, incomplete, or unavailable. We may reset environments, change features, or end access without liability to the maximum extent permitted by law.
8. Fees
Kantharos may offer free early access. Any future paid Kantharos plans will be described at purchase time. Hermes Cloud usage and credits are billed by Nous / Hermes under their terms unless we expressly state otherwise.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INACCURATE; YOU ARE RESPONSIBLE FOR HOW YOU USE THEM.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KANTHAROS AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TO KANTHAROS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50.
11. Indemnity
You will defend and indemnify Kantharos against claims arising from your content, your use of the Service, or your violation of these Terms or third-party rights, except to the extent caused by our willful misconduct.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach, risk, or discontinuation of the Service. Sections that by nature should survive will survive termination.
13. Governing law
Working draft: These Terms are governed by the laws of the State of Florida, USA, excluding conflict-of-law rules, unless mandatory consumer law in your country requires otherwise. Venue for disputes that may be brought in court is state or federal courts located in Miami-Dade County, Florida, subject to those mandatory protections.
14. Changes
We may update these Terms. Continued use after the effective date means you accept the updated Terms, except where local law requires a different process.
